Terms & Conditions

YOUR USE OF AND ACCESS TO OUR SERVICES ARE SUBJECT TO THE FOLLOWING TERMS. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS OUR SERVICES IN ANY MANNER.

If you accept or agree to these Terms and Conditions of Use, Privacy Policy, and Data Use Policy (collectively, “Terms”) on behalf of a company or legal entity, you represent and warrant that you have the authority to bind that company or entity to these Terms. “You” and “Your” will refer to both the individual and the company or entity, as applicable.

 

Terms and Conditions of Use

This Agreement sets forth the terms and conditions under which Metaply, Inc. (“Metaply”, “we”, “us”, or “our”) provides access to its website, software-as-a-service platform, and any other related services (collectively, the “Services”).

By using the Services, clicking a button, or otherwise signifying your acceptance, you:

(a) agree to be bound by this Agreement and any future updates,

(b) confirm you are of legal age to enter into a binding contract.

We may modify these Terms at any time. Continued use of the Services after posting changes will constitute your acceptance of those changes.

Use of Services and Content

Metaply offers software applications designed to enhance advertising performance through data enrichment, server-side integrations, and analytics dashboards. Our platform integrates with third-party services like Shopify and Meta to provide value-added functionality.

To access certain features, you may need to register an account. You agree to provide accurate and up-to-date information and are responsible for maintaining the confidentiality of your login credentials. Unauthorized use of your account must be reported to Metaply immediately.

All content, software, designs, logos, and intellectual property provided through our Services are protected by applicable laws. Any future updates or additions to the Services will be governed by these Terms.

 

Restrictions on Use

You may not:

  • Copy, distribute, modify, sell, or license our Services or content
     

  • Reverse engineer, decompile, or otherwise attempt to derive source code
     

  • Create derivative works based on our platform
     

  • Use our Services to develop competing products
     

  • Mine or scrape data from our systems without explicit permission
     

Any unauthorized use is grounds for termination and may result in legal action.

Privacy and Data Use

We collect, process, and store personal and business data to provide and improve our Services. This includes:

  • Merchant data (name, store URL, contact info)
     

  • Usage data (logins, preferences, engagement)
     

  • Event data from integrated platforms (e.g., Shopify, Meta)
     

We do not sell personal information. Data may be shared with trusted subprocessors only to the extent necessary to operate the Services. ( Meta )

You may have rights under data protection laws (e.g., GDPR, CCPA), including access, correction, deletion, and objection to processing. For requests, contact: privacy@metaply.ai

Subprocessors and Vendors

We use third-party vendors to support our Services. These vendors are required to:

  • Comply with applicable privacy and data security laws
     

  • Implement industry-standard controls (e.g., ISO/NIST frameworks)
     

  • Ensure their subcontractors adhere to similar standards
     

A list of subprocessors is available upon request.

Security

We maintain a security program with technical and organizational measures to protect your data. However, no online system is completely secure, and we cannot guarantee absolute security.

Intellectual Property

Metaply owns all rights, title, and interest in its platform, services, and related intellectual property. You retain ownership of your own data and assets, but grant Metaply a limited license to use your content as needed to deliver the Services.

You may not use our trademarks, branding, or designs without written permission.

General Prohibitions

You agree not to:

  • Infringe on any intellectual property or privacy rights
     

  • Use our Services for any unlawful purpose
     

  • Attempt to access restricted areas or systems
     

  • Introduce malware or disrupt functionality
     

  • Send unsolicited or spam communications
     

  • Copy, scrape, or crawl our platform or content
     

Violation of these prohibitions may result in immediate suspension or termination.

Indemnification

You agree to indemnify and hold harmless Metaply and its affiliates from any losses, damages, or claims arising from:

  • Your misuse of the Services
     

  • Violation of these Terms
     

  • Violation of any third-party rights
     

  • Non-compliance with applicable laws
     

Metaply reserves the right to assume the exclusive defense of any such claims.

Disclaimer of Warranty

All Services are provided “as is” and “as available,” without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law, Metaply is not liable for any indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.

Our total liability shall not exceed the greater of:

(a) the amount you paid us in the 30 days preceding the event giving rise to the claim, or

(b) $100.

This limitation does not apply to liability resulting from our fraud or willful misconduct.

Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease. Sections relating to ownership, warranty disclaimers, and limitations of liability will survive termination.

 

International Use

Our Services are operated from the United States. If you access them from other jurisdictions, you do so at your own risk and are responsible for compliance with local laws.

Dispute Resolution and Governing Law

Any disputes shall be governed by the laws of the State of Florida, without regard to conflict of law principles. All disputes shall be resolved through binding arbitration in Orange County, Florida, except where injunctive relief is sought for IP violations.

You waive any right to participate in class actions or jury trials.

Miscellaneous

  • These Terms constitute the entire agreement between you and Metaply.
     

  • If any provision is found to be unenforceable, the remaining terms remain in effect.
     

  • Failure to enforce any part of these Terms shall not constitute a waiver.
